Mr. Gerardi advises clients in numerous industries on a broad range of business and commercial matters. His practice includes private financings, joint ventures and strategic alliances, mergers and acquisitions, corporate reorganizations, corporate governance issues, securities law compliance matters, technology licensing, executive compensation, employment issues and matters relating to the formation, structure and dissolution of business entities.

Mr. Gerardi has represented a variety of business entities in the healthcare, biotechnology, telecommunications, medical device, software, manufacturing, e-commerce, restaurant, retail and construction industries. He has also been counsel to venture capitalists and angel investors in private placements and other transactions.

REPRESENTATIVE MATTERS

Mr. Gerardi draws upon his diverse business and legal background to fashion pragmatic legal solutions for clients. Prior to joining Dillon Gerardi Hershberger Miller & Ahuja, he served as Vice President and General Counsel of a local biotech company, as a senior associate at the law firm of Sheppard, Mullin, Richter & Hampton, LLP, and as President of a commercial construction company. His representative experience includes:

  • Multi-million dollar mergers and acquisitions representing buyers and sellers (including complex stock and asset purchases and sales)
  • Venture capital and other private equity and debt financings representing issuers and investors (including complex multi-round financings and recapitalizations)
  • Joint ventures, strategic alliances, licensing and other commercial business transactions
  • Representation of founders in connection with the start-up, organization and financing of their businesses
  • Representation of health care providers ranging from small physician medical practices to large multi-specialty medical groups in a wide range of matters including mergers and acquisitions, structuring and formation of joint ventures, employment and independent contractor arrangements, governance issues, and compliance with state and federal health care statutes
  • Counseling businesses with respect to entity formation, governance, ownership, capitalization, structure, confidentiality agreements and protection of intellectual property
  • Advising clients with respect to operations, human resources, and general contract issues.
